Charon Finance Lifts Iwaki Stake to 18.95%, Reserves Right to Push on Board and Payouts

The Swiss investor's holding in Tokyo Stock Exchange Prime-listed Iwaki jumped from 16.96% to 18.95% on August 7, and its own filing reserves the right to seek board changes, higher dividends and share buybacks.

Charon Finance GmbH, a Swiss investment firm, disclosed to Japan's Kanto Finance Bureau that it lifted its stake in Tokyo Stock Exchange Prime-listed Iwaki Co., Ltd. (ticker 6237) to 18.95% as of August 7, 2026, up from 16.96% nine days earlier. The filing, Change Report No. 13, shows Charon now holds 4,261,500 of Iwaki's 22,490,910 outstanding shares.

The jump came fast. On August 6 Charon bought 131,800 shares (0.59% of the register), then 264,500 more the next day (1.18%), the burst of buying that crossed the one-percentage-point threshold triggering the disclosure. Total funding behind the position reached ¥11.41bn, split between ¥8.63bn of Charon's own money and ¥2.78bn borrowed from UBS Switzerland AG.

Charon, a Swiss GmbH founded in December 2016, describes its business as holding securities and running a financial and investment operation. Its filing states the purpose is long-term investment, but it reserves the right to pursue what Japanese disclosure rules label "important proposal actions": changes to Iwaki's board composition, changes to dividend policy including higher payouts, share buybacks and other capital-policy moves, and other steps aimed at lifting shareholder value. As of this filing, Charon has taken no such formal step, but the language marks a shift from passive holding toward stated engagement.

The accumulation shows up clearly across Charon's last three change reports to Iwaki's register.

Also filed on August 17 were two housekeeping amendments correcting Charon's two most recent prior disclosures, Change Reports No. 11 and No. 12, to add three market purchases from June 24 to 26, 2026, totalling 15,400 shares (500, 1,800 and 13,100 shares respectively) that had been left off the original 60-day trading logs. Neither correction changes the previously reported totals: 3,579,800 shares (15.92%) as of July 14 and 3,815,200 shares (16.96%) as of July 29. The additions simply complete the paper trail of the incremental buying that preceded Charon's push past the 18% mark.
