Bridgestone Cancels 42.65 Million Treasury Shares, Trimming Its Share Count to 1.29 Billion

Bridgestone retired 42,649,100 treasury shares on September 18, cutting its outstanding share count to 1,291,387,942 under a board plan approved in February, a cancellation of shares held in treasury rather than a new buyback.

Bridgestone Corporation said it completed the cancellation of 42,649,100 common shares on September 18, 2026, carrying out a board resolution passed on February 16. The retired stock equaled 3.5% of the company's shares outstanding before the move, measured against the total excluding treasury holdings.

Cancellation under Article 178 of the Companies Act removes shares Bridgestone already held in treasury from the count of shares outstanding; it does not involve buying anything new from the market. The company held the shares as treasury stock before deciding to extinguish them rather than hold or reissue them.

With the cancellation complete, Bridgestone's total shares outstanding now stand at 1,291,387,942. The notice, filed as a follow-up disclosure on the earlier board resolution, did not include any new repurchase authorization or dividend announcement alongside the cancellation.

The filing gives investors a clean data point on Bridgestone's capital structure: a smaller, fixed denominator of shares now sits behind future earnings and dividend calculations.
