Nippon Shokubai completed the purchase of all shares in a specialty chemicals maker based in Uji, Kyoto, on 2 November 2026, paying ¥20bn for 3,520,000 shares. The company now owns 100.0% of the voting rights, up from none.
Who sold, and when
The seller was the MCP5 investment limited partnership, which held 80.0% of the target, together with individual shareholders holding the other 20.0%. The board resolved on the deal on 9 September, the contract was signed on 16 October and the transfer closed on 2 November. The company said the purchase falls below the Tokyo Stock Exchange's timely-disclosure threshold and that it chose to disclose voluntarily.
What Nippon Shokubai gets
The target builds on emulsification, polymerization and photosensitive technologies. In electronics it sells resist materials and insulating protection materials, and Nippon Shokubai says it has a customer and technology base in semiconductors and electronic components. A second line uses water-soluble polyester resins in coating materials.
In the year to March 2026, on a consolidated basis, the target reported sales of ¥6.925bn, operating profit of ¥846mn and net profit of ¥771mn. Operating profit was ¥382mn two years earlier and ¥706mn the year before. Net assets were ¥8.03bn.
The two companies already trade: the target buys acrylic acid and other materials from Nippon Shokubai.
Stated aims and impact
Nippon Shokubai says it aims to combine the two companies' materials and technologies to speed development for semiconductor uses and to share sales channels and customer networks overseas and at home. These are stated goals, not results. It expects the effect on consolidated results for the year ending March 2027 to be minor.
