TOTO's board has approved a share buyback of up to 9.5 million common shares, capped at ¥30bn, and resolved to cancel most of the stock it buys. The board decision was announced on October 30, 2026.
The caps and the window
The 9.5 million-share ceiling equals 5.8% of shares outstanding excluding treasury stock, according to the company's notice. The ¥30bn limit applies to the total purchase price. Both are upper limits, not targets: the notice authorizes purchases up to those amounts and does not say how much TOTO expects to buy.
Purchases may run from November 1, 2026 to March 31, 2027. TOTO will buy on the Tokyo Stock Exchange through a discretionary dealing contract, under which a broker executes market purchases within the board's limits.
As of September 30, 2026, TOTO had 164,454,537 shares outstanding excluding treasury stock and held 1,903,860 treasury shares.
Cancellation, with a carve-out
TOTO also resolved to cancel treasury shares under Article 178 of the Companies Act. The cancellation covers all shares acquired under this buyback except 100,000, so it is not a full cancellation. The scheduled date is April 30, 2027.
The company said it will make a further announcement once the buyback is complete and the cancellation date is fixed. Until then, the authorization is a ceiling and the eventual reduction in share count depends on how many shares TOTO actually buys.
The stated rationale
TOTO said the buyback follows the policy in its medium-term management agenda, WILL2030. It cited improving capital efficiency and pursuing a flexible capital policy that responds to changes in the operating environment.
