Baby Calendar completes ¥500mn Orange Page purchase and will consolidate

Baby Calendar has bought all 9,910 shares of Orange Page from JR East for ¥500mn before advisory costs, and will switch to consolidated accounts with its results for the year ending December 2026.

Two stacks of magazine pages joined by an orange band beside a small pile of coins, suggesting a completed publishing acquisition.

Baby Calendar (TSE Growth: 7363) said it completed its purchase of Orange Page on 2 November 2026, making the publisher a wholly owned subsidiary. The company will move to consolidated reporting as a result.

Terms of the closing

The seller was East Japan Railway Company (JR East), which held all of Orange Page's shares. Baby Calendar acquired 9,910 common shares for ¥500mn, a price that excludes advisory and similar costs. After the closing it holds 9,910 shares, equal to 100% of voting rights.

The notice gives the acquisition date and share count but does not say how much the advisory and other costs came to. Those sit outside the stated price.

Accounting change

Because Orange Page becomes a consolidated subsidiary, Baby Calendar will move to consolidated accounts starting with its results for the year ending December 2026.

The company said it is still working through its consolidated earnings forecast for that year and will announce it as soon as it is ready. It also said it would promptly announce any other matter on the deal that requires disclosure.

The company first announced the acquisition in September; see Earlier Tokyo Brief coverage for that stage.
