NTT Finance Registers ¥1tn Bond Shelf for a Two-Year Funding Window

NTT Finance Corporation has registered to sell up to ¥1tn in corporate bonds between September 2026 and September 2028, but it has yet to fix a size, coupon or underwriter for a single tranche.

NTT Finance Corporation filed a shelf registration with the Kanto Local Finance Bureau on August 26, 2026. The filing sets a ceiling of ¥1tn for corporate bonds the company can sell over the following two years.

Under Japan's shelf-registration system, the filing itself does not sell a single bond. It builds a standing pipeline: once the registration takes effect, NTT Finance can issue individual tranches through shorter supplementary documents rather than a fresh full disclosure each time.

The planned issuance window runs from the registration's expected effective date of September 3, 2026 to September 2, 2028. The instrument covered is corporate bonds only; the filing does not touch shares or other securities. The filing identifies the company's president as its representative on the cover page.

What the filing does not yet say is more telling than what it does. The amount, coupon, maturity and underwriter for any specific bond are listed as "undetermined." The filing also confirms routine disclosure housekeeping. NTT Finance's securities report for the year to March 2026 was filed on June 12, 2026, and the company must file an interim report for the six months to September 2026 by November 16, 2026, then its next full annual report by June 30, 2027.
