NOK and Eagle Industry now sit under new NOK Group holding company

NOK Corporation became a wholly owned subsidiary of the new NOK Group on October 1, 2026, after a joint share transfer with Eagle Industry, and its former group CEO took a representative director post at the parent.

NOK Corporation and Eagle Industry have shared a parent since October 1, 2026. On that date a joint share transfer by the two companies created NOK Group, described in NOK's extraordinary report as the joint holding company and wholly owning parent of NOK.

The director who moved up

The extraordinary report, filed on October 8 with the Kanto Local Finance Bureau, exists because NOK's board changed. The company's former president, executive officer and group CEO, who was a representative director, left that post on October 1. The same day he became a representative director of NOK Group.

The report lists his holding as no NOK shares and 136,500 shares of NOK Group, as of October 1. It states that the bracketed figure counts shares in the new parent. The cover page names a different person as NOK's current president and CEO.

A governance switch on the same day

NOK gives the filing reason as its change on October 1 from a company with an audit and supervisory committee to a company with a board of auditors. The change in representative director followed from that move. In Japan the second model keeps statutory auditors on a board separate from the directors.

The report gives no exchange ratio or valuation for the share transfer, and it does not name the other directors of NOK Group. It also gives no operating or financial detail on the combination.
