LOGOS HOLDINGS INC. (Tokyo: 205A0) has agreed to sponsor the civil rehabilitation of homebuilder Aera Home Co., Ltd., according to an extraordinary report the Hokkaido-based holding company filed on July 16, 2026. LOGOS Holdings' board resolved that day to back Aera Home's rehabilitation and signed a sponsor agreement through LHD-1 Co., Ltd., a subsidiary it created specifically to run the rescue.
The mechanism is an absorption-type split, not a straight share purchase. Aera Home and LHD-1 signed a split agreement the same day, setting October 1, 2026 as the effective date for transferring Aera Home's business into LHD-1. Once the split takes effect, LHD-1 will change its name to Aera Home Co., Ltd., and Hideyuki Nakajima, Aera Home's current representative director, will take over as representative director of the renamed successor. The operating business and its leadership survive the rescue largely intact; what changes is who controls the company.
LOGOS Holdings submitted the report to the Hokkaido Local Finance Bureau under Article 24-5, Paragraph 4 of Japan's Financial Instruments and Exchange Act, marking its first filing on the matter. It does not disclose how much LOGOS Holdings or LHD-1 is paying for Aera Home's business, nor Aera Home's financial condition at the time of the rescue. Those figures, along with confirmation that the split has closed on schedule, are what's still missing before the October handover.
