Link-U fixes October 8 payment for ¥917.5mn Crunchyroll share sale

Link-U Group has set October 8 for payment on 1,071,900 new shares at ¥856, worth ¥917.5mn, after Crunchyroll's required foreign-investment notification procedures were completed; the issue still depends on its registration statement taking effect.

Link-U Group has set October 8, 2026 as both the application date and the payment date for its third-party share allotment to Crunchyroll. The date replaces a window running from September 30 to November 30.

What cleared

In an amended securities registration statement filed with the Kanto Local Finance Bureau on October 5, Link-U said that on September 28 the required procedures were completed for the allottee's prior notification under the Foreign Exchange and Foreign Trade Act, which covers inward direct investment. The original statement, filed on September 14, had made that step a precondition for payment. It also said the timing could not yet be fixed, which is why it left a two-month payment window open.

The terms

The deal is unchanged apart from the dates. Link-U will issue 1,071,900 new shares at ¥856 each, for an offering amount of ¥917.5mn and estimated net proceeds of ¥912.5mn. The statement lists a 100-share application unit and no application deposit.

Link-U lists three uses for the money:

  • expanding its overseas manga distribution platform business;
  • strengthening the resources and capabilities behind overseas digital manga distribution;
  • taking IP-related content and services overseas.

What still has to happen

Payment is scheduled for October 8. The allotment remains conditional on the registration statement taking effect under the Financial Instruments and Exchange Act. If Link-U and the allottee have not signed a total subscription agreement by the payment date, the capital increase does not go ahead.
