Hayashikane Sangyo Shareholder Slashes Stake From 6.35% to 0.04%

Umios Corporation sold 562,400 shares of the Tokyo Stock Exchange-listed fishery group at ¥887 apiece to four buyers on August 18, keeping only 3,500 shares for itself.

A large shareholder in Hayashikane Sangyo Co., Ltd. (TSE: 2286) has all but walked away from its position. An amendment to a large shareholding report, filed with the Kanto Local Finance Bureau on August 24, 2026, shows that Umios Corporation, a Tokyo-registered company founded in 1943, saw its stake in the fishery group fall from 6.35% to 0.04%. The filing was triggered because the change exceeded the one-percentage-point threshold that forces disclosure.

The mechanics are straightforward. On August 17, Umios disposed of 46 shares off-market to clear an odd lot. The next day, it sold 562,400 shares on the Tokyo Stock Exchange in four separate blocks, all at ¥887 per share.

One buyer, Hayashikane Computer Co., shares its house name with the issuer, though the filing does not establish any corporate or ownership relationship between that company and Hayashikane Sangyo. The filing draws no such link for the other buyers either: Betsukei Co. and two further purchasers whose names appear only in Japanese in the filing.

Umios states its purpose for holding the stock was "to maintain and strengthen intra-group trading relationships". Umios's own registered business description, covering fishery, aquaculture, marine-product import and processing, and related food manufacturing, mirrors the sector Hayashikane Sangyo itself operates in, which is consistent with a supplier or affiliate reshuffling an equity position rather than an outside investor exiting on market sentiment.

After the sale, Umios holds just 3,500 shares out of Hayashikane Sangyo's 8,910,000 shares outstanding, a residual 0.04% stake.

The filing also notes that 5,659,465 of Umios's shares were once pledged as collateral to Norinchukin Bank, from June 2008 until the pledge was released in November 2013. That arrangement predates this month's disposal, and the filing does not link the two events.

What the four-page amendment does not say is why now, or what the buyers plan to do with the stock. For a shareholder that reported a 6.35% stake as recently as its last filing, cutting the position to a rounding error in a single trading day is the kind of move that usually has a story behind it, even if this filing only gives readers the receipt.
