Gunma Bank Sets December 23 Vote on Share Exchange With Daishi Hokuetsu Financial Group

Gunma Bank shareholders vote December 23 on a share exchange that would hand full ownership to Daishi Hokuetsu Financial Group from April 2027, with a linked charter rewrite taking effect only if the deal does.

The Gunma Bank, Ltd. (TSE: 8334) said its board resolved on September 24 to hold an extraordinary general meeting on December 23, 2026, at 10am at its head office in Maebashi, putting a share exchange with Daishi Hokuetsu Financial Group to a shareholder vote. Shareholders of record as of September 30, 2026, are eligible to attend and vote.

The exchange follows a final integration agreement between the two companies, announced March 26, 2026. If shareholders approve it, Gunma Bank's shares would be exchanged so that Daishi Hokuetsu Financial Group becomes the bank's sole shareholder once the deal takes effect, on a planned date of April 1, 2027. Nothing about the exchange is final until that vote.

The same meeting carries a rewrite of Gunma Bank's articles of incorporation. It would delete the clauses governing the annual shareholders'-meeting record date and the electronic delivery of meeting materials, because once Daishi Hokuetsu Financial Group is the sole shareholder those mechanics, built for a public float, no longer serve a purpose. The amendment is conditional twice over: it takes effect on April 1, 2027, and only if shareholders approve the share exchange and the exchange itself becomes effective that day.

A third agenda item revises the restricted stock compensation plan for directors, adjusted alongside the ownership change. Separately, the bank said it plans to pay the year-end dividend for the fiscal year ending March 2027 to shareholders on the final register as of March 31, 2027, under its current article 41.

December 23 is now the operative date for the deal: a yes vote sets the April 2027 effective date in motion; anything else leaves the March 2026 integration agreement without a shareholder mandate to complete it.
