Seed's board has asked shareholders to approve the squeeze-out that would finish its take-private by Luxshare Precision Cayman Limited. An extraordinary shareholders' meeting is scheduled for December 2, 2026, and the company has not yet cleared it. Earlier Tokyo Brief coverage
The mechanics
The proposal consolidates 14,768,400 Seed shares into one. Holders other than the largest shareholder would end up with fractions of a share, and the fractions would be sold and paid out in cash. The filing says the sale is planned to go to Luxshare Precision Cayman through a court-approved process, priced so that holders receive ¥795 per share held on the December 22 record. If the court refuses permission, or rounding is needed, the actual payout may differ.
Luxshare Precision Cayman held 13,102,594 shares, or 43.29%, as of October 20, the date tender-offer settlement began. The planned end state is a two-owner company, with voting rights split 49.00% Luxshare Precision Cayman and 51.00% the largest shareholder. That shareholder held 48.80% through trust-held shares it agreed not to tender.
Dates and funding
If the vote passes, Seed is planned to be designated a security to be delisted from December 2 to December 20. The last trading day is December 18, delisting is December 21, and the consolidation takes effect December 23.
Court petition is targeted for mid-January 2027 and sale of the fractional shares for early March. Payment to shareholders is targeted for late April 2027, and the timing depends on the court. Luxshare Precision Cayman plans to fund the transaction through up to ¥13bn in equity from its parent.
Seed also resolved to cancel all its treasury shares on December 22, conditional on approval of the consolidation. Treasury shares were 136 of 30,265,922 issued shares at September 30, so the step is minor.
