UT Group's founder is not selling out, he is repackaging his own stake inside a company he also runs. A change report (No. 44) filed with the Kanto Local Finance Bureau on August 31, 2026 discloses that the founder, a company officer at UT Group, signed a contract on August 7, 2026 to transfer 135,467,670 common shares, a 19.46% stake in the TSE Prime-listed company (ticker 2146), to an asset-management limited liability company he heads as representative member.
The deal is priced at ¥182 a share, done off-market, with settlement scheduled for September 7, 2026. The LLC, whose stated business is asset management and which was set up in April 2021, is funding the purchase with ¥24.66bn borrowed directly from the founder personally. In effect, the founder is lending his own holding company the money to buy his own shares.
Because transferor and transferee sit in the same reporting group, along with a third joint holder, Kabushiki Kaisha Lei Hau'oli (a software-development contractor the founder also heads, established in 1999), the combined stake reported to regulators does not move. The three filers together still hold 257,260,170 shares, a combined 36.95% holding ratio under the disclosure's statutory formula, unchanged from the prior report. UT Group had 601,634,745 shares outstanding as of August 28, 2026.

The founder separately carries an unrelated ¥195mn loan from Mizuho Bank's Yokohama branch, tied to earlier share purchases. He describes his purpose for holding UT Group stock as remaining a stable shareholder "as the company's founder... aiming to participate in management," and none of the three filers report any activist-style important proposal conduct.
The filing does not indicate any change in the joint holders' 36.95% combined stake. It shows a founder consolidating a large personal stake inside a dedicated holding vehicle he funds himself, with the transfer due to settle on September 7, 2026.
