Strategic Capital sets ¥200 dividend ask and a shareholder-proposal timetable at GungHo

Strategic Capital, which holds 13.67% of GungHo, lists a ¥200 dividend, a Sony Music share resale, a takeover or leadership change as proposals, and plans a shareholder proposal on the 2026 payout for January and February 2027.

Strategic Capital has changed the stated purpose of its 13.67% stake in GungHo Online Entertainment to include "important proposals", and its large-shareholding change report lists what it is seeking: a rebalanced capital structure, a treasury-share purchase from a named shareholder, a resale to Sony Music, a higher dividend, and either a third-party takeover or a leadership change. The report (No. 12) gives the reason for filing as a change in holding purpose. The reporting obligation arose on 5 October 2026 and the report was filed on 13 October 2026. A stake that did not move

The holding itself is unchanged. Strategic Capital reports 7,267,500 shares, or 13.67% of 53,161,416 shares outstanding as of 5 October 2026, the same ratio as in its previous report. Of those, 7,267,400 shares are held as client assets under a discretionary investment contract with Intertrust Trustees (Cayman) Limited. The report says 800,000 shares are pledged to a securities firm as substitute collateral and 500,000 are lent to the same firm under a securities lending agreement.

What Strategic Capital is asking for

The report states two purposes: constructive dialogue with GungHo and important proposals aimed at raising shareholder value, alongside pure investment. The proposals it lists are these.

  • Improve the capital structure by using interest-bearing debt and reducing shareholders' equity.
  • Have GungHo acquire treasury shares from a specific shareholder, meaning a named individual and holders Strategic Capital judges he substantially controls, then dispose of those shares to Sony Music.
  • Delist GungHo through a third-party takeover.
  • Raise the dividend.
  • If GungHo stays listed, change its leadership. Strategic Capital proposes that the company either dismiss its representative director or have the chairman step down from the board.

These are the filer's proposals. The report records no response from GungHo, Sony Music or the shareholder it names. It also names no acquirer for a takeover and gives no price or share count for the treasury-share purchase or the resale.

The dividend timetable

The dividend demand is the only item with dates. Strategic Capital proposes a year-end dividend of ¥200 per share for each period end from December 2026 to December 2030, and says it plans to make that proposal to GungHo during October 2026. For the December 2026 year-end payout alone, it plans a shareholder proposal under the Companies Act between January and February 2027.
