Silchester Discloses 5.07% Stake in Hakuhodo DY Holdings, Signals Push on Payouts

The UK value investor built an 18.45 million share position in Japan's advertising holding company entirely with client money, and wants talks on dividends, buybacks and board composition.

Silchester International Investors LLP, a UK-based investment adviser, disclosed a 5.07% stake in Hakuhodo DY Holdings, the Tokyo-listed advertising and marketing communications group, in a large shareholding report filed with Japan's Kanto Local Finance Bureau on August 20, 2026. The filing shows Silchester holding 18,451,800 shares out of 363,902,636 shares outstanding, a stake that crossed Japan's 5% disclosure threshold on August 18, 2026.

Silchester spells out what it wants from Hakuhodo DY's management: changes to capital policy, better capital efficiency, a review of the business structure and stronger corporate governance. The specifics on the table include higher dividends, share buybacks or cancellations, and general views on board composition. None of it counts yet as a formal "material proposal" under Japan's large shareholding rules: that section of the filing is marked not applicable, meaning Silchester is flagging intent rather than lodging concrete demands. It says it will act at a time judged appropriate, based on market conditions, Hakuhodo DY's operating performance, and how talks with management progress.

The position built up fast. On August 17, Silchester bought 256,700 Hakuhodo DY shares on-market plus 24,500 shares off-market at ¥1,278 each; on August 18, it added 288,000 shares on-market and 32,000 shares off-market at ¥1,258 each.

The whole position was funded through client money, not Silchester's own balance sheet. The filing records ¥20.5bn in total acquisition funding, all from what it labels other sources, meaning customer accounts, with zero from own funds and zero borrowed.

Founded as a limited liability partnership in June 2010, Silchester's representative named in the filing holds the title of chair of the firm's Business Supervisory Group. The filing does not say whether the 5.07% stake is newly built or an increase from a smaller position already held, because the field for Silchester's previously reported holding ratio was left blank.
