Niterra has decided to drop its planned purchase of Denso's spark plug and exhaust sensor businesses, a deal it announced on 1 September 2025. In a TDnet notice dated 2 October 2026, the company said it would sign an agreement with Denso cancelling the business transfer contract the two had concluded.
Denso asked to cancel
According to Niterra, the cancellation began with Denso, which asked to terminate the contract. Niterra attributes Denso's request to recent changes in its market environment and a review of its future policy toward the target businesses. The notice gives no further detail on that rationale.
Niterra says it kept negotiating in good faith, citing its responsibility to keep supplying internal-combustion-related products. It then concluded that a drawn-out process was not appropriate. In its account, prolonged talks would add uncertainty to its business outlook, affect the integration planning needed for a smooth transfer and for synergies, and shrink the benefit of the acquisition if closing slipped. Niterra judged this against its allocation of management resources and capital efficiency, and accepted Denso's request.
Guidance and the 2030 plan
Niterra's earnings forecast for the year ending March 2027, published on 30 April 2026, already included preparation costs for the acquisition. The company says the effect of the cancellation is minor.
The Mid-Term Management Plan 2030, published in November 2025, includes the effect of the acquisition. Niterra expects no major change to its target figures given current conditions. It says it will re-examine its business plan, including capital allocation such as growth investment, and will announce the outcome on its investor relations website. No date for that update is given.
The notice states no transaction value and no termination payment. The cancellation agreement is described as a decision to sign, not a signed document.
