Komori closes ¥26.46bn purchase of chiller maker Maruyama Chiller

Komori has bought all of Maruyama Chiller, a maker of chillers for semiconductor equipment, for about ¥26.46bn including fees, and renamed it KOMORI Precision Technologies; its standalone net profit was ¥364mn in 2025.

Komori said on 2 October 2026 that it has completed its purchase of Maruyama Chiller, which makes chillers for semiconductor manufacturing equipment, and that the company is now a wholly owned subsidiary. The company said all procedures finished as planned.

What Komori paid

Komori acquired 600 shares, or 100% of the voting rights, for ¥26bn. Adding advisory costs and other fees, estimated at ¥463mn, the approximate total is ¥26.46bn. Before the deal Komori held no shares. Maruyama Chiller's sole shareholder had been its president. The notice says the two companies had no capital, personnel or trading relationship.

What it bought

Maruyama Chiller, based in Hachioji, Tokyo, was founded in 1995. It develops, designs, makes, sells and services chillers, described as constant-temperature circulation units, for semiconductor manufacturing equipment. Three of its subsidiaries also joined the Komori group.

The disclosed numbers cover the company alone. Sales were ¥7.74bn in the year to December 2023, ¥5.76bn in 2024 and ¥8.16bn in 2025. Operating profit was ¥1.98bn, ¥634mn and ¥661mn over the same years, and net profit fell from ¥1.34bn to ¥542mn and then ¥364mn. Net assets at the end of 2025 were ¥6.42bn.

The target does not prepare consolidated accounts. Komori said that in due diligence it learned the group's 2025 sales were about ¥11.3bn and EBITDA about ¥2.5bn. The company labelled those figures reference information that has not been audited or otherwise assured.

Rename and outlook

The company is now KOMORI Precision Technologies Corporation. Komori gave two reasons: to link it to the Komori brand for smoother post-integration operations, and to strengthen its appeal in the semiconductor and electronics industries. Four overseas subsidiaries (three subsidiaries and one second-tier subsidiary) are due to take new Komori-branded names after the required procedures.

Komori said the deal's effect on its consolidated results has not changed materially from its 29 July 2026 announcement. The notice gives no date for the overseas renamings.
