FreeBit Co., Ltd. (TSE Prime: 3843) told the Tokyo Stock Exchange on August 31, 2026 that its earnings report for the first quarter of the year ending April 2027 will not be ready within the usual 45 days of quarter-end. The company gave no new date, only a promise to announce one once it has it.
The hold-up traces back to a special investigation committee of outside independent experts, set up on May 21, 2026 to examine FreeBit's September 2025 purchase of shares in CountUp. The committee is checking both whether the deal itself was sound and whether the company's internal decision-making process around it held up. That inquiry is still running.
This is not the first filing it has knocked off schedule. The investigation already forced FreeBit to postpone its full-year results for the year ended April 2026, announced in June, and pushed back the deadline for its annual securities report to October 30, 2026, an extension approved in July. Now the same audit and accounting work is expected to eat into the first-quarter close for the current fiscal year, too.
FreeBit says three dates remain undetermined: the delayed full-year results announcement, the securities report filing, and the first-quarter earnings release now under discussion. The company has not indicated what the committee's investigation has found so far, and nothing in this notice describes its conclusions. Shareholders are left waiting on a schedule the company itself cannot yet set.
