ENEOS closes TPC deal at an estimated US$758mn as operating unit's profit fell

ENEOS has completed its purchase of TPC Holdings at an estimated US$758mn, taking on a North American butadiene supplier whose operating subsidiary, TPC Group, saw operating profit fall to US$25mn in 2025 from US$118mn a year earlier.

ENEOS Holdings has completed its acquisition of TPC Holdings, a Houston-based maker of C4 chemicals, at an estimated price of US$758mn. The deal closed on 26 October 2026, US time, and TPC is now a consolidated subsidiary in ENEOS's functional materials segment, according to the company's completion notice dated 27 October.

Price and structure

The US$758mn is a current estimate. ENEOS says the final figure will be set after adjustments for items such as net interest-bearing debt.

The deal was done by merging a special-purpose company set up by ENEOS into TPC, with TPC as the surviving company. TPC's 27,793,565 existing shares were cancelled, and their holders gained a right to cash. The special-purpose company's 1,000 shares converted into 1,000 TPC common shares, which is why ENEOS reports holding 1,000 shares (100% of voting rights) after acquiring 27.8mn. TPC's registered shareholder is ENEOS Holdings USA Inc.

The notice lists three counterparties: Redwood Capital Management, Monarch Alternative Capital and PGIM, Inc. For each, it says there are no reportable matters in ENEOS's relationship with the fund or with its managing partner.

What ENEOS bought

TPC is a holding company whose main operating subsidiary, TPC Group, Inc., separates and refines C4 fractions such as butadiene and makes and sells derivatives. ENEOS says TPC holds the top North American share in butadiene, raffinate, 1-butene and polybutene. It also says the deal lifts its group butadiene capacity to the world's top three.

The rationale is stated in ENEOS's own terms. The purchase is part of the portfolio restructuring in its fourth medium-term plan. ENEOS cites shrinking domestic demand and the US advantage of cheap shale-gas feedstock. Butadiene is the main raw material for the elastomers, including the solution-polymerised styrene-butadiene rubber used in low-fuel-consumption tyres, that ENEOS already sells.

A weaker earnings base

The recent record of TPC Group, Inc., the operating subsidiary, is mixed. Its sales rose to US$1,681mn in 2024 before falling to US$1,511mn in 2025, and operating profit dropped to US$25mn in 2025 from US$118mn. It swung to a net loss of US$34mn attributable to parent shareholders.

ENEOS says the effect on its consolidated results is still being examined, and that it will announce any forecast revision promptly if one is needed. The notice gives no financing terms for the purchase.
