3D Investment Partners lifts J.Front Retailing stake to 12.73%

3D Investment Partners now holds 12.73% of J.Front Retailing, up from 11.63%, and argues the department-store group is overcapitalised once its property is valued at market; its filing says it may submit written proposals.

3D Investment Partners has raised its holding in J.Front Retailing to 12.73% from 11.63%, according to a large shareholding change report (No. 6) filed on 26 October 2026 with the Kanto Local Finance Bureau. The obligation to report arose on 19 October. Earlier Tokyo Brief coverage

The holding

The Singapore-based investment adviser holds 34,455,900 shares against 270,565,764 outstanding as of 14 October 2026. It is the sole filer, with no joint holders. The report lists on-market and off-market purchases between 21 August and 19 October. The largest single day was 2 September, with 2,031,800 shares bought on market, equal to 0.75% of shares outstanding. The off-market trades shown with a price were done between ¥2,658 and ¥3,062 a share. The report lists total acquisition funding of ¥83.9bn.

The argument

The filer's stated purpose is net investment and, as circumstances warrant, dialogue with the board and management. 3D says J.Front, a department-store operator that owns and runs property in prime commercial districts, has low adjusted ROE and ROIC measured at market value. It says the company is overcapitalised once its real estate is valued. It argues that optimising the balance sheet and capital allocation would raise corporate value significantly.

As of 19 October, 3D says it is in dialogue with J.Front on business portfolio optimisation, use of owned assets, capital allocation and capital policy.

What is and is not on the table

The report ticks the box for possible important proposals. It says 3D plans to make written proposals on matters the law classes as important, such as director appointments, major capital-policy or dividend changes, and asset sales, when it judges them useful to corporate value. The report records no proposal as made.

3D says it has no specific plan to add more than 5 percentage points to its holding. It says it could do so within three months if it judged that useful, with price, volume and timing set by the market.
