Umios Corporation, the Tokyo-listed seafood group, has agreed to buy all of High Liner Foods Incorporated, a Nova Scotia-based processor of frozen seafood, for about C$804mn in cash. Its board decided on the deal on 26 October 2026 and the company signed an Arrangement Agreement with High Liner Foods the same day, according to an extraordinary report filed on 27 October.
How the deal works
Umios will buy through a newly created holding company. The route is a Plan of Arrangement under Nova Scotia's companies law, one way of acquiring 100% of a Canadian listed company. Cash will go to all of High Liner Foods' shareholders. The filing gives no per-share price and does not say how Umios will fund the purchase.
The filing puts completion at January 2027, a planned date rather than a fixed one. Umios says it has no capital, personnel or trading relationship with High Liner Foods today.
What Umios is buying
High Liner Foods procures, processes and sells seafood products, mainly frozen seafood and frozen foods. At the end of 2025 it had net assets of US$409.0mn and total assets of US$964.0mn. Sales rose in 2025 after a dip in 2024, while operating profit returned to its 2023 level after a 2024 high.
| Metric | 2023 | 2024 | 2025 |
|---|---|---|---|
| Consolidated sales | 1,080,338 | 959,218 | 1,026,899 |
| Operating profit | 60,289 | 80,547 | 60,437 |
| Profit before tax | 34,111 | 72,031 | 43,684 |
| Net profit attributable to parent shareholders | 31,677 | 60,164 | 36,557 |
The stated logic
Umios says High Liner Foods has built strong sales positions in both business-to-business and consumer channels in the US and Canada and keeps stable earnings. The purchase would give Umios's pollock resources a route to North American markets as higher-value products. Umios says it is aiming for a vertically integrated business that runs from seafood procurement to the consumer's table, and that downstream expansion should lift group profitability.
Seven new specified subsidiaries
The deal also adds seven specified subsidiaries: High Liner Foods itself, High Liner Foods (USA), Incorporated, and five other holding or asset-management entities in the group. Each has capital equal to at least a tenth of Umios's own capital, which is the threshold the filing cites for specified-subsidiary status. Umios would hold 100% of the voting rights in each.
Separately, Umios filed an amended shelf registration for its bond programme on 27 October, to incorporate the extraordinary report by reference. The registration covers up to ¥70bn of bonds, runs to 30 March 2028, and still shows ¥70bn available. Its effectiveness was suspended for 27 October only.
