Ariake Capital lifts Tokyo Kiraboshi stake to 10.09%, citing talks on deposits and governance

Ariake Capital reports holding 10.09% of Tokyo Kiraboshi Financial Group, up from 9.00%, and says its talks with management cover UI Bank's deposit strategy, group governance and growth strategy; it reports no material proposals.

Ariake Capital now holds 10.09% of Tokyo Kiraboshi Financial Group (TSE: 7173), up from 9.00% in its previous report. Its change report (No. 4), filed on October 20 with the Kanto Local Finance Bureau, puts the holding at 29,186,100 shares against 289,189,176 shares outstanding as of October 13. October 13 is the date the reporting obligation arose, not the filing date. Earlier Tokyo Brief coverage

Why the report was required

The cover page gives three reasons: the holding ratio rose by at least one percentage point, there was a change to material contracts such as collateral arrangements, and the stated purpose of the holding was amended. The report lists on-market purchases of ordinary shares on dates from August 19 to October 13, including 420,300 shares (0.15%) on October 8 and 266,700 shares (0.09%) on October 13.

What Ariake says it wants to discuss

Ariake describes the holding as basically a pure investment made under a discretionary investment contract. It says it seeks returns through improvement in Tokyo Kiraboshi's medium- and long-term corporate value, and that it holds constructive dialogue with management and gives advice as needed.

The report names four topics:

  • maximising the value of the group's Tokyo-area operating base;
  • UI Bank's deposit-gathering strategy in an era of positive interest rates;
  • the effectiveness of risk management and governance across a group with many subsidiaries;
  • growth strategy, including how resources inside and outside the group are combined.

Ariake says the dialogue respects management's autonomous judgment and that it plans to continue it. The section on important proposals reads "not applicable". The report does not say management has accepted any of the points raised.

Contracts and funding

Ariake has a discretionary investment contract with Ariake Master Fund, under which it manages the shares. It also trades on margin through Tachibana Securities, with 1,339,000 shares bought on margin. Those shares are held in the broker's name, so Ariake has no voting rights over them. It has also pledged 22,092,500 shares to Tachibana Securities as substitute collateral for margin trading.

The report puts total acquisition funding at ¥45.14bn: ¥2.23bn borrowed from Tachibana Securities and ¥42.91bn labelled customer funds. That total covers the whole holding, not the latest increase.

The report does not state a target stake or a timetable for the talks. A holding above 10% does not by itself give control.
