Anthropic's amended Japan filing adds cash-flow data, showing operating cash turning positive in the first half

Anthropic's amended Japan registration statement shows $3.9bn of operating cash inflow in the six months to June 2026, after outflows in each earlier period shown, while the proposed offering of up to $3.5bn still awaits Nasdaq approval.

Anthropic, PBC has amended its Japanese securities registration statement to add cash-flow figures and year-end balance-sheet data that the 2 November version showed only in part. The amendment, filed on 5 November 2026, covers a single section of the document, the summary of key financial indicators.

The offering itself is unchanged on the cover page: registered Class A common stock, with a Japanese tranche capped at $3.5bn (¥552.9bn at the filing's stated rate of ¥157.97 per dollar, set on 1 October 2026). The cap is an estimated ceiling on the total issue price. The actual amount for Japan will be fixed on the terms-determination date. For readers who want the earlier registration, see Earlier Tokyo Brief coverage.

Listing still pending

Anthropic applied on 26 October 2026 (US Eastern time) to list its Class A shares on the Nasdaq Global Select Market. The amendment says Nasdaq had not approved the listing when the registration statement was filed. The filing gives no pricing, and the pro forma and as-adjusted balance-sheet columns still read "to be determined".

What the new tables show

The corrected section adds a cash-flow summary for 2023, 2024 and 2025 and for the first six months of 2025 and 2026. It also adds balance-sheet figures for 31 December 2024 and 31 December 2025 next to the 30 June 2026 column. The earlier version had only the June 2026 balance sheet.

Operating cash flow was negative in 2023, 2024 and 2025, and in the first half of 2025. In the six months to 30 June 2026 it was an inflow of $3.9bn. Investing outflows reached $17.2bn in that half, and financing inflows were $110.8bn.

The balance sheet moved on the same scale. Cash, cash equivalents and short-term investments stood at $131.7bn on 30 June 2026, against $20.3bn at the end of 2025 and $3.1bn a year earlier. Redeemable convertible preferred stock was $157.5bn at June 2026, from $29.8bn at end-2025 and $2.9bn at end-2024. Total stockholders' deficit was $127.6bn in June 2026, from $50.5bn at end-2025 and $9.8bn at end-2024.

The filing warns that the six-month results do not necessarily indicate results for the full year to December 2026 or any other period. The amendment does not say why the tables were not in the original version.
