Skyfall Prices IPO at ¥1,500, the Top of Its Range, Ahead of September Listing

Skyfall priced its IPO at ¥1,500, the top of its range, after bookbuilding demand clustered at the ceiling; the reward-advertising platform is directing most of the roughly ¥1.51bn raised toward hiring and marketing in the US and Europe, with trading set to start September 17.

Skyfall Inc., which runs the SKYFLAG reward-advertising platform, priced its initial public offering at ¥1,500 a share, the top of the indicative ¥1,450-to-¥1,500 range, according to an amended securities registration statement filed with the Kanto Local Finance Bureau on September 9, 2026. It is the third version of the filing since the original submission, reflecting the routine sequence of updates that precede a Tokyo listing.

The float breaks into three pieces. Skyfall itself is issuing 1,100,000 new shares worth ¥1,355,750,000. Existing holders, including the company's president, are selling 1,203,800 shares through the underwriters for ¥1,805,700,000, alongside sales from and factory Co., Ltd., L.V.R Co., Ltd. and Amazia, Inc.. A further over-allotment tranche of up to 345,500 shares, worth ¥518,250,000, will be covered by stock the lead underwriter borrows from the president, who has granted a greenshoe option to buy back the same number of shares through October 15, 2026.

SBI Securities leads the syndicate with 870,000 of the 1.1 million new shares, alongside eight smaller underwriters: Daiwa Securities, SMBC Nikko Securities, Mizuho Securities, Rakuten Securities, Monex Securities, Okasan Securities, Kyokuto Securities and Matsui Securities. Rather than charge a commission, the underwriters buy shares from Skyfall at ¥1,380 and resell them at ¥1,500, keeping the ¥120-per-share spread.

Skyfall said bookbuilding demand exceeded the number of shares on offer, came from numerous bidders, and concentrated at the top of the price range. Net proceeds of about ¥1.51bn are earmarked for the SKYFLAG platform's push into the United States and Europe: roughly ¥1.2bn for local hiring and payroll, ¥168mn for advertising and promotion, and ¥143mn for office rent and other working capital, split between the year to September 2027 and the following year. The expansion follows Skyfall's entry into South Korea in the year to September 2025. Trading is scheduled to begin on the Tokyo Stock Exchange on September 17, 2026.
