Seven & i Completes ¥400bn Buyback, Then Places ¥300bn in Treasury Shares With SoftBank, PayPay and Sumitomo Mitsui Card

Seven & i Holdings used a single ToSTNeT-3 session to complete a ¥400bn share buyback, then two weeks later allotted ¥300bn in treasury shares to SoftBank, PayPay and Sumitomo Mitsui Card in a separate transaction that the filing does not otherwise explain.

Seven & i Holdings closed out a ¥400bn share buyback in a single day, then turned around two weeks later and handed roughly ¥300bn in treasury shares to three payments companies: SoftBank Corp., PayPay Corp. and Sumitomo Mitsui Card Co.

The retail and convenience-store group's board approved the buyback on July 31, 2026, setting a cap of 210,000,000 shares and ¥400bn in value, with the acquisition window narrowed to a single date, August 3, 2026, executed as an off-floor ToSTNeT-3 trade on the Tokyo Stock Exchange. The company bought 189,663,300 shares for ¥399,999,899,700 that day, closing the program in one session. Seven & i reported reaching 100.00% of the ¥400bn value cap and 90.32% of the 210 million-share cap, according to the filing's own progress figures.

Then, on August 17, Seven & i disposed of 144,927,534 treasury shares for ¥299,999,995,380 through a third-party allotment. The filing names the recipients as SoftBank Corp., PayPay Corp. and Sumitomo Mitsui Card Co. The disclosure gives the share count, the value, the disposal date and the allottees, but it does not describe what commercial or capital arrangement, if any, accompanies the placement, nor does it state whether the allotted shares came from the August 3 buyback lot or Seven & i's existing treasury holdings.

By August 31, Seven & i held 50,222,254 treasury shares against 2,320,258,349 total issued shares. The filing itself is a monthly buyback status report required under Article 24-6 of the Financial Instruments and Exchange Act, submitted to the Kanto Local Finance Bureau on September 11, 2026, covering the period from August 1 to August 31.

The buyback and the allotment are two distinct transactions recorded in the same monthly report, not a single net move: one retired open-market float from Seven & i's own balance sheet, the other placed a large block of treasury stock directly with three named counterparties outside the market. What the filing does not say is why those three companies were chosen, or what conditions, if any, attach to the shares they now hold.
