Relo Group, Inc. (TSE Prime: 8876) has agreed to buy 90.0% of ATIV Medical Pte. Ltd., a Singapore-based group that provides healthcare services to Japanese expatriates and travellers across Southeast Asia. Relo decided on the deal and signed the contract on October 20, 2026, according to its acquisition notice.
Price and timing
Relo will acquire 242,910,000 shares for ¥1.62bn. It also expects roughly ¥60mn in advisory and other costs, bringing the approximate total to ¥1.68bn. The share transfer is scheduled for October 30, 2026, so the deal has not yet closed. Relo held no ATIV Medical shares beforehand, and the notice reports no capital, personnel or trading ties between the two.
The shares come from two corporate shareholders and three individuals. The largest holders are SEKAISHA at 40.1% and a second Tokyo company at 39.1%.
What Relo is buying
ATIV Medical was set up in Singapore in 2022. For the year to March 2026 it reported consolidated sales of SGD 10,965,919, up from SGD 8,003,355 a year earlier, with operating profit of SGD 1,458,813 against SGD 993,413. Net profit attributable to owners was SGD 1,154,139.
The strategic logic
Relo says it can offer ATIV Medical's services to employees before they leave Japan, worried about choosing a hospital abroad. That would give it a chain running "from before assignment to local life". The company expects strong patient referrals from its overseas-assignment support business to ATIV Medical.
Those synergies are expectations. Relo says the effect on consolidated results is still being examined, though it believes the deal will help performance, and it promised to disclose further matters promptly.
