Quantum Solutions Co., Ltd. (TSE: 2338) told shareholders on September 9, 2026 that it is delaying disbursement of ¥475mn in third-party-allotment share proceeds from August to September. That looks like a filing footnote, but it comes wrapped around a full rewrite of the company's route into the AI-data-center business.
The company had planned to acquire up to 32 NVIDIA B300 GPU servers through Rubin Tech Inc., a US partner, relying on Rubin Tech for sourcing help. Quantum Solutions now states plainly that it never signed a sales contract, purchase order, or any other GPU purchase agreement with Rubin Tech. A previously cited ¥676mn prepayment, described as 20% of the servers' expected cost, was only a planning estimate, not a contractual debt, and no money ever changed hands.
That plan is dead. On September 7, 2026, the board resolved to sign a purchase contract with an unnamed AI-infrastructure company based in the Kanto region for the first tranche of latest-generation, high-density GPU servers and related equipment, worth $60,985,056, about ¥9.51bn at ¥155.97 to the dollar. The re-timed ¥475mn will now fund part of the first payment under this new contract instead of a Rubin Tech prepayment that never existed.

The near-quadrupling of the server count comes down to real-estate math. Quantum Solutions is negotiating data-center capacity in Osaka Prefecture through Telstra Japan Co., Ltd., where it has already paid a full $2,202,864 deposit for priority negotiating rights on about 3MW of first-phase capacity. Site engineering discussions showed that capacity there comes in roughly 1MW blocks, each able to host about 64 latest-generation GPU servers. Installing only 32 servers would have left paid-for power and floor space unused. The company is now negotiating for about 2MW of that capacity, which calls for roughly 128 servers to use it efficiently; talks over the remaining 1MW continue.
None of the new contract's money has moved yet. Quantum Solutions says it had not paid the $8.3mn (about ¥1.295bn) first installment owed to the new vendor as of September 9. Separately, ¥985mn expected from exercising the company's 16th-series stock acquisition rights, issued August 24, 2026, remains earmarked for the AIDC build from October onward, though most of that sum is still unraised.
The financing keeps getting more improvised. On the same day, the board resolved to borrow $2.6mn, about ¥399mn at ¥153.34 to the dollar, from Blackwell Cloud Co., Limited, a Hong Kong company that became a Quantum Solutions shareholder through the August 24 allotment and now holds 4,046,000 shares and 82,140 stock acquisition rights. The loan carries a 2.5% annual rate, is unsecured, and falls due December 31, 2027, with proceeds earmarked for the Osaka GPU launch. The borrowing entity switched from a wholly owned subsidiary to the parent company itself just two days after the arrangement was first announced. Blackwell, capitalized at only 10,000 Hong Kong dollars since its 2024 founding, declined to disclose its representative, major shareholders, or financial statements in the filing.
On Rubin Tech, Quantum Solutions has repaid in full the $1.5mn it had separately borrowed from the firm and says no memorandum of understanding or customer contract covering the use of GPU computing resources exists between the two companies as of September 9, though it does not rule out a future commercial relationship. The company expects no impact on results for the year ending February 2027 from the disbursement-timing change itself.
