Optorun and AIMECHATEC move to wind down nanoimprint venture NLT

Optorun's board resolved to dissolve and liquidate NLT, its 58.8%-owned nanoimprint venture with AIMECHATEC and JSR, with liquidation expected around February 2027, the loss still under review and both partners expecting a minor effect on results.

Optorun's board resolved on 20 October 2026 to dissolve and liquidate NLT, the nanoimprint lithography venture it runs with AIMECHATEC and JSR. Optorun holds 58.8% and consolidates NLT as a subsidiary. AIMECHATEC holds 29.4% and treats it as an equity-method affiliate. JSR holds 11.8%.

Why the partners are stopping

AIMECHATEC's notice says NLT asked AIMECHATEC to consent to liquidation, because mass-production technology development in its current state offers no prospect of timely commercialisation in line with demand. AIMECHATEC's board decided the same day to consent. Optorun's notice cites progress in technology development and wider customer needs, and says a more agile structure for the business was judged to make liquidation reasonable.

Both companies say their capital and business alliance continues after NLT is gone. They plan to pursue nanoimprint lithography work as customers require.

A small, loss-making venture

NLT was founded in July 2023. In the year to December 2025 it booked sales of ¥1.6mn and a net loss of ¥106.1mn, against sales of ¥0.5mn and a net loss of ¥59.5mn a year earlier. Net assets stood at ¥157.5mn at the end of 2025.

Timetable

NLT's own dissolution resolution is scheduled for 28 October 2026. Optorun expects liquidation to finish around February 2027. AIMECHATEC puts completion within its fiscal year to June 2027. Optorun's extraordinary report says NLT will cease to be one of its specified subsidiaries, taking its voting rights in NLT from 2,000 to none.

Both notices say the loss from dissolution is still being examined, and both expect a minor effect on consolidated results. The notices do not say how JSR will respond.
