Oasis Lifts COMSYS Holdings Stake to 7.36% and Widens Its Proposal List

Oasis Management raised its COMSYS Holdings stake to 7.36% from 6.32% and disclosed plans to press for dividend policy changes, the ouster of the representative director and a possible further purchase of more than five percentage points within three months.

Oasis Management Company Ltd has raised its stake in COMSYS Holdings Corporation (TSE: 1721) to 7.36% from 6.32%, according to an amended large shareholding report filed with the Kanto Local Finance Bureau on August 26. The change crossed Japan's one-point disclosure threshold on August 19, taking Oasis's position to 8,681,700 shares against COMSYS's 118,000,000 shares outstanding as of June 30.

The filing frames the buying as part of an ongoing dialogue with COMSYS management over "mid- to long-term corporate value." Oasis says it has already made proposals to the company covering the election of specific directors, a significant change to board composition, delisting the shares from the exchange, changes to capital policy, and the scenario in which a third-party acquisition would push voting rights past 50%.

The fund is not stopping there. Over the next 12 months, Oasis says it plans to raise additional proposals covering the disposal or acquisition of important assets, large borrowings, the dismissal of the representative director, the transfer or discontinuation of part of the business, and changes to dividend policy, on top of repeating its existing positions on board composition, delisting and capital policy.

Oasis also disclosed an intention to buy more than five additional percentage points of COMSYS stock through on- and off-market trades as a portfolio investment, but only if the share price looks undervalued and other unstated conditions are met. Price, volume and timing are still under review, the filing says, and the move may require notification to or approval from regulators. Oasis is targeting completion within three months of the August 19 trigger date, but says the timeline could slip beyond that window depending on those same conditions.

The roughly ¥29.51bn already spent building the position came entirely from fund capital, not borrowed money. The trading log behind that spend shows near-daily purchases from late June through August 19, ranging from lots as small as 500 shares to a single-day buy of 179,500 shares, a pattern consistent with steady market accumulation rather than one large block trade. The report was filed by Oasis alone, with no joint holders named in the submission.

None of this amounts to an agreed plan. The filing states what Oasis intends to propose and may still buy, not what COMSYS's board has accepted or how it will respond. For the telecoms-and-construction contractor, the next test is whether COMSYS engages on dividend and board questions before Oasis's three-month buying window closes in mid-November.
