Massachusetts Financial Services Company (MFS) and MFS Investment Management Co., Ltd., the Tokyo-based joint filer, have cut their combined stake in Sugi Holdings Co., Ltd. (TSE and Nagoya: 7649) from 5.13% to 2.89%.

The change report, filed with the Kanto Local Finance Bureau on September 4, 2026, is the fifth amendment MFS has lodged against this position. It was triggered because the combined stake dropped by more than one percentage point since the previous filing, with the reporting obligation dated to August 31, 2026.

MFS alone now holds 5,430,473 shares, 2.78% of Sugi Holdings' 195,074,514 shares outstanding, down from 5.00% previously. MFS Investment Management Co., Ltd. holds 216,550 shares, 0.11%, down from 0.14%. Combined, the two entities hold 5,647,023 shares, or 2.89%, versus 5.13% before.

Both filers describe the holding as pure investment tied to asset-management mandates for clients, not a governance or activist position. MFS also disclosed that it has lent 262,000 shares to a single institutional investor under a securities-lending agreement, meaning part of its remaining position sits out on loan rather than in the portfolio outright.

The filing records only the fact of the reduction. It does not explain why the reported stake fell, over what period the change occurred, or what MFS intends for the remainder of its position.
