A shareholder in Medipal Holdings has escalated its call for an extraordinary general meeting to the courts. Medipal said on 26 October 2026 that it received a petition from the Tokyo District Court, filed by the shareholder, seeking permission to convene a shareholder meeting.
What the petition asks for
The petition asks the court to authorise a meeting with four items on its agenda: the removal of one director named in the notice, a partial amendment of the articles of incorporation, a special dividend, and a share buyback. Medipal's notice gives no detail on the charter change, the size of the dividend or the scale of the buyback.
Who is behind it
Medipal named the petitioner as The Northern Trust Company AVFC Re: Silchester International Investors International Value Equity Trust. Medipal said the shareholder has held at least 3% of all shareholders' voting rights continuously for six months or more. That is the stake and holding period Japanese company law requires of a shareholder who requests a meeting.
The petition follows an earlier step. In a notice dated 2 September 2026, Medipal had said it received a written demand from a shareholder to convene an extraordinary meeting. Medipal's 26 October notice does not say why the matter has moved to court.
What is still open
The notice records that Medipal received the petition. It is not a court order, and Medipal does not say the court has granted permission. The notice gives no meeting date, and nothing in it says that the director removal, special dividend or buyback has been approved. Medipal said it will disclose promptly any development that requires disclosure.
