The gap between what the company raises and what its backers cash out is wide. KOMPEITO itself is issuing just 50,000 new shares, carrying a statutory issue value of ¥66.3mn, for expected net proceeds of about ¥63.6mn after roughly ¥10mn in issuance costs are deducted from the ¥73.6mn paid in at the ¥1,472 underwriting price. That money is earmarked for regional digital and promotional advertising, run with partner regional banks, to expand the number of workplaces installing OFFICE DE YASAI snack and vegetable stations, with the full amount to be spent in the year to August 2027.
Existing shareholders are selling far more stock in the same offering. SBI Securities and a syndicate of regional brokerages are placing 4,139,300 shares on behalf of holders including JIC Venture Growth Fund and Nissay Capital, among other shareholders: 3,118,800 shares domestically, worth ¥4.99bn, and 1,020,500 shares to investors in Europe and Asia outside the US and Canada, worth ¥1.63bn. SBI Securities is also conducting a separate over-allotment sale of up to 628,200 shares, worth up to ¥1.01bn, drawn from shares borrowed from lending shareholders; the lead underwriter separately holds a greenshoe option to acquire the same number of shares from those lending shareholders, exercisable through October 9.
KOMPEITO said bookbuilding demand exceeded the number of shares on offer and clustered at the top of the price range, which it cited in setting the ¥1,600 price. That demand followed a jump in revenue: sales for the year to August 2025 reached ¥5.74bn, up from ¥3.10bn the year before. The September 3 filing was KOMPEITO's third submission in the listing process, following its original registration on August 12 and a first amendment on August 26.
Shares are due to begin trading on the Tokyo Stock Exchange on September 11.
