Kinki Sharyo's board resolved on October 16 to sell its Piscataway plant in New Jersey for $26mn, and the railcar maker expects a gain of about ¥2.4bn in the year ending March 2027. The gain is an issuer estimate and may move with exchange rates.
The terms
The plant is owned by KI-PISCATAWAY LLC, a consolidated subsidiary based in California with capital of $8mn. The sale covers land, buildings and ancillary facilities, carried at a book value of $9mn. The buyer is DIG BRICKYARD CRANBURY LLC of New Jersey. Kinki Sharyo says it has no capital, personnel or business relationship with the buyer, and that the buyer and its related parties are not related parties of the company.
The handover date is set for October 26. The disclosures describe a board resolution and a scheduled handover, not a completed transfer.
The rationale
Kinki Sharyo ties the sale to its Mid-term Plan 2028. It says it is disposing of an asset where higher utilisation is not expected, and consolidating sites to make its North American business more efficient. The disclosures describe a sale of one asset and do not announce a wider withdrawal from North America.
The forecast question
The expected gain exceeds the asset-sale gain built into the full-year consolidated forecast announced on May 13. Kinki Sharyo is still assessing the financial impact, including that of a fire at one of its factories on August 7, and says it will disclose any forecast revision promptly.
