East Japan Railway Company (JR East) is set to become a far larger shareholder in Toyo Denki Seizo, the century-old maker of railway traction equipment, raising its stake to 20% of shares outstanding from 10.64%. JR East was already Toyo Denki's top-ranked shareholder and a customer for its railcar electrical systems. The increase comes through a mix of a third-party allotment of treasury shares, off-floor trading and open-market purchases, disclosed in Toyo Denki's annual securities report filed August 26. On August 6, Toyo Denki transferred 578,000 treasury shares to JR East through the allotment, for ¥1.4bn. The larger holding pushes JR East into the status of an "other related company" under Japanese securities rules.
The ownership shift lands alongside a strong turnaround year. For the twelve months to May 31, 2026, Toyo Denki's orders rose 13.2% to ¥45.64bn, while consolidated sales held roughly flat at ¥40.48bn. Operating profit climbed 30.5% to ¥3.11bn, ordinary profit rose 36.2% to ¥3.52bn, and net profit attributable to shareholders jumped 39.8% to ¥2.98bn. Return on equity reached 10.3%, beating the 8% target in the company's outgoing medium-term plan for a second straight year.

The board plans a ¥100 per-share dividend for the year, pending shareholder approval at the August 27 annual meeting, up from ¥70 the year before. Toyo Denki has also launched a new medium-term plan, "Sustainable 2030," targeting ¥48bn in sales and a 9% operating margin by the year ending May 2030, alongside further paring of cross-shareholdings.
Segment results are uneven. Transportation orders rose 15.6% as gains from private railway operators and overseas markets outside China offset declines in China- and JR East-related orders, though transportation sales slipped 1.5% because a large prior-year Indonesian railcar order did not repeat. The industrial segment, which makes automotive test equipment and backup generators, grew on stronger orders but flagged China's rare-earth export controls as a supply risk requiring diversified sourcing. A smaller ICT solutions unit, now folded into the transportation division, posted a ¥30mn segment loss after a large prior-year system delivery did not recur.
The annual report arrived alongside two companion filings: a certification from the company's president that the report was prepared accurately, and an internal-controls report judging the company's financial-reporting controls effective across eight group entities, with no material weaknesses flagged.
