Image Information buys Oita call-centre unit for ¥200mn, but its orders still come through the seller

Image Information will pay about ¥200mn for an Oita contact centre with 198 seats whose revenue comes entirely from its seller, and will guarantee its debts to that seller; closing is scheduled for 23 October.

Image Information Inc. agreed on 20 October 2026 to buy all 180 shares of an Oita city contact-centre company from its seller, a Tokyo-based contact-centre and AI-BPO operator, for ¥200mn, plus roughly ¥1mn in advisory costs, to be paid from cash on hand. The share transfer is scheduled for 23 October.

The price followed due diligence and an independent valuation range of ¥189mn to ¥227mn.

What the buyer gets

The Oita company runs a contact and back-office centre in Oita city with 198 seats: 160 on site and 38 remote. It has 167 staff, of whom 25 are regular employees and 142 part-timers. It serves work the seller won from large companies, covering 25 clients and 36 projects as of the end of April 2026.

Revenue for 2025 was ¥466mn, against ¥432mn in 2023 and ¥473mn in 2024. Operating profit fell to ¥6mn from ¥26mn in 2023 and ¥22mn in 2024. The figures are unaudited.

The dependence on the seller

All of the Oita company's revenue is subcontracting from the seller. Under the three-way alliance agreement, the seller stays prime contractor and sales contact, and the Oita company keeps receiving fees from it. The term is two years from closing, renewing automatically for two more unless a party objects six months before expiry. Image Information guarantees what the Oita company owes the seller under the agreement. The agreement takes effect only once the share transfer is completed.

Image Information also cites an adjusted operating profit of ¥45mn for 2025. That figure adds back ¥39mn of head-office pay, seconded managers' costs and administrative charges borne to the seller's group, and it is unaudited.

The plan and what is open

Image Information says it will move administration in-house and apply AI, with partner fonfun, to the contact-centre work. Labour costs make up about 80% of revenue, according to its briefing. Those are plans, not results.

Goodwill is expected to arise, but its size and amortisation period are undetermined. The profit effect is still being assessed. The Oita company is due to contribute six months of results to the year ending March 2027.
