Futaba Corporation, the Tokyo Prime-listed maker of hobby radio-control gear and industrial servos, will buy 91.9% of a surface-drone (USV) maker based in Takizawa, Iwate Prefecture. The board approved the deal and the share purchase agreement was signed on October 23, 2026.

The terms

Futaba will acquire 4,388 shares, taking its holding from zero to 91.9%. The stated price is ¥698mn, which the notice says includes estimated incidental expenses. The share transfer is scheduled for October 30, 2026, so the deal is agreed but not yet completed.

The target was founded on February 25, 2016, and has capital of ¥114mn. It plans, develops, makes, sells and maintains surface drones, unmanned vessels and amphibious drones. Its largest shareholder holds 56.6%, and that Takizawa-based company is named as the counterparty. The notice says neither the counterparty nor the other shareholders have any capital, personnel or trading ties to Futaba.

The strategic case

Futaba's robotics solutions business already covers hobby radio-control equipment, industrial servos and aerial drones (UAVs). The target adds surface-drone technology, and Futaba says it will combine the two to widen the business.

The notice describes the target as running a business aimed at defense, coast guard, surveying and infrastructure inspection, and agriculture, forestry and fisheries. Futaba expects to broaden its customer base in defense, local government and infrastructure, along with unspecified synergies. The notice names no customers or contracts.

The earnings view

Futaba says the acquisition will have a minor effect on its consolidated results. The notice gives no revenue or profit figures for the target.
