EnBio Holdings, Inc will buy four solar businesses from Next Energy & Resources (NER) through a subsidiary it plans to set up in November, with the transfer scheduled for 1 February 2027. The board approved the business-transfer agreement and the two companies signed it on 16 October 2026, according to an extraordinary report filed on 20 October.
What is changing hands
The subsidiary will take over NER's residential solar development and sales business, its EPC (engineering, procurement and construction) work on industrial solar systems, its operations and maintenance (O&M) business and its overseas business. This is a transfer of businesses, not a purchase of NER's shares. NER, based in Komagane, Nagano Prefecture, has capital of ¥100mn. The filing lists its business as developing, selling and installing solar systems and maintaining them.
EnBio said it has built a record in solar development, EPC, power generation and O&M. It cited NER's product development for solar equipment, residential product planning, nationwide sales channels, EPC and O&M technical skills and overseas base as the resources it wants to add. Its stated aims include more rooftop solar opportunities, efficiency and profitability gains in EPC and O&M, higher value for existing solar assets and combined customer networks. The filing does not quantify any of these.
Terms and timetable
The price is undisclosed. EnBio cited a confidentiality agreement with NER and said it expects to pay in cash on the transfer date.

Conditions still open
The transfer depends on a special resolution at NER's shareholder meeting, approval under the Construction Business Act for succession of the transferred business, consent from NER's main customers and release of security interests over NER's assets. The filing says the transfer date is planned, so it could move if any condition is not met on time.
