Akippa Prices IPO at ¥570, the Top of Its Range, Ahead of a September 18 Debut

Akippa fixed its IPO at ¥570, the top of the ¥540-570 range, after bookbuilding demand outstripped supply and bunched at the ceiling, while SOMPO Holdings, DeNA and venture backers sell far more stock than the company raises for itself.

Akippa Inc., the Osaka-based operator of the akippa parking-space marketplace, fixed its IPO issue price at ¥570 a share, the top of the ¥540-570 provisional range, after bookbuilding demand came in well above the shares on offer and clustered at the top of that range, according to the amended securities registration statement it filed with Japan's Kinki Local Finance Bureau on September 10. This is the third version of the filing, following the original prospectus of August 18 and an amendment on September 2, as the underwriting terms firmed up. The underwriting price paid by SBI Securities, sole lead manager, and its syndicate came to ¥524.40 a share, against a Company Act payment amount of ¥459.

Only a small slice of the deal raises new capital for the company: 378,000 new shares, worth ¥173.5mn. The bulk of the float is existing holders cashing out, selling 1,833,100 shares worth ¥1.04bn, led by SOMPO Holdings (1,124,600 shares) and DeNA (560,500 shares), plus two Globis venture funds and JR East Startup. SBI Securities can sell a further 331,600 shares (¥189.0mn) in an over-allotment, backed by a greenshoe option running to October 16.

After ¥18.5mn of issuance costs, akippa expects to net about ¥179.7mn from the new shares, earmarked entirely for product-development costs, engineering and product-management hires and outside contractors, spread through the year ending December 2028. An existing shareholder tied to akippa through a business-alliance agreement is separately lined up to take up to 368,000 shares through a designated-buyer placement. On a non-consolidated basis, akippa's sales climbed from ¥1.48bn to ¥3.83bn over the five years covered in the filing's summary data, with the company posting a ¥223.2mn net profit in its most recent period, extending three straight years of profit. Trading starts September 18.
