Shionogi Amends Annual Report, Cuts Disclosed Director Pay Total

Shionogi's amended securities report lowers disclosed compensation for its senior directors to ¥642mn from ¥895mn, driven by a corrected fringe-benefit figure for foreign-national directors; the correction also revises a related-party pay note but leaves other financial-statement figures unchanged.

Shionogi & Co., Ltd. filed an amended annual securities report with the Kanto Local Finance Bureau on September 25, 2026, correcting compensation disclosures in the annual report it had submitted on June 19, 2026 for the fiscal year ended March 31, 2026. The company says part of the original filing contained errors. The correction is confined to executive-pay tables in the corporate-governance section and a related-party note within the notes to its consolidated financial statements; other financial-statement figures were not changed.

At the category level, disclosed total compensation for directors excluding audit committee members and outside directors falls to ¥642mn from ¥895mn. Within that group, basic pay drops to ¥231mn from ¥326mn, and the "other" line, covering fringe benefits for foreign-national directors, falls to ¥12mn from ¥171mn. Performance-linked pay (¥252mn) and share-based pay (¥145mn) for the same group are unchanged. Figures for audit committee directors (¥63mn), corporate auditors (¥18mn) and outside officers (¥155mn) were not revised.

Individually, one director in the filing's ¥100 million-and-above disclosure sees compensation fall to ¥324mn from ¥577mn, with basic pay revised to ¥120mn from ¥214mn and the fringe-benefit line cut to ¥12mn from ¥171mn. The chairman and chief executive's disclosed pay of ¥302mn is unchanged.

A related-party note on key-management compensation moves in step: the year's total falls to ¥880mn from ¥1,133mn, while the prior year's ¥647mn figure stands. Shionogi also restated the amount it excludes from these totals for international-transfer tax adjustments, to ¥267mn from ¥121mn.
