FreeBit Co., Ltd. (TSE Prime: 3843) said on July 29, 2026 that it is considering asking the Kanto Local Finance Bureau to extend the deadline for filing its annual securities report for the fiscal year ended April 2026. The report is statutorily due July 31, 2026, under Article 24, Paragraph 1 of the Financial Instruments and Exchange Act.
The company set up a special investigation committee of external, independent experts on May 21, 2026, to examine whether its acquisition of CountUp Co., Ltd., announced September 29, 2025, was justified, and whether FreeBit's internal decision-making process around the deal was adequate. That inquiry is continuing.
FreeBit says the committee's work, and the audit procedures its accounting auditor must carry out once the committee reports, will take enough time that the company may not receive the audit report it needs before the July 31 deadline. That is why it is weighing a formal extension request to the regulator rather than simply missing the cutoff.
The filing has already slipped once. FreeBit postponed the full-year earnings announcement for the same fiscal year on June 12, 2026. It has not disclosed a new earnings date or confirmed whether it will submit the extension request; the company says it will update shareholders once its position with regulators and its auditor is settled.
